Management Bodies of the Organization, Their Powers and Formation Procedure, Frequency of Meetings and Decision-Making Procedures, Reporting to its Members

5.1. The supreme management body of the Organization is the General Assembly of its members (hereinafter also referred to as the General Assembly), which is formed from the membership of the Organization or their authorized representatives. The General Assembly is empowered, according to the Statute, to take any actions concerning the activities and affairs of the Organization, including decisions regarding changes in the quantitative composition, formation/activity procedures, and designation of the executive body of the Organization.

5.2. The General Assembly is convened by the Head of the Organization no less than once every 2 (two) years. The date of the General Assembly is announced by the Head of the Organization no later than 1 (one) month before the General Assembly takes place.

5.3. The General Assembly is considered competent if at least 2/3 of the members of the Organization or their authorized representatives are present, and if decisions regarding amendments to the Statute, alienation of property of the Organization amounting to fifty percent or more of the Organization’s property, and about termination of the Organization’s activities by self-dissolution or reorganization of the Organization and about termination of the Organization’s activities by its reorganization or self-dissolution are taken, other decisions at the General Assembly are made by a majority vote of the present members of the Organization.

5.3.1. The method of voting is determined by the General Assembly, whereby voting is possible, including by using means of communication, teletype, electronic or other technical means of communication, as well as by fax or email.

5.4. Extraordinary General Assemblies are convened at the initiative of the Head of the Organization or upon the demand of no less than 10% of the members of the Organization. The Head of the Organization informs about the convening of extraordinary General Assemblies no later than 14 (fourteen) calendar days before the day of their holding. In case it is impossible to ensure personal presence at the General Assembly, a member of the Organization has the right to participate through online communication via the Internet or other means of communication. When participating in the General Assembly through online communication via the Internet or other means of communication, a member is obliged to personally confirm their decision with a statement within ten working days.

5.5. The exclusive competence of the General Assembly includes any questions concerning the activities of the Organization, including, but not limited to, the General Assembly:

  • approves changes to the Organization’s Statute;
  • elects the Head of the Organization for a term of 10 (ten) years;
  • determines the main directions of the Organization’s activities;
  • hears and approves the reports of the Organization;
  • exercises the right of ownership of the Organization’s property and funds;
  • determines the amount and procedure for payment of entrance and membership fees;
  • makes decisions on the termination of the Organization’s activities by its reorganization or self-dissolution;
  • considers complaints about the decisions, actions, or inaction of the executive body of the Organization;
  • makes decisions on the establishment and closure of separate units of the Organization.

5.6. The executive body of the Organization is the Head of the Organization, who is a permanent governing body, elected by the General Assembly for a term of 10 (ten) years and decides on all matters of the Organization’s activities, conducts the current management of its activities, except for cases falling within the competence of the General Assembly. By the decision of the General Assembly, the Head of the Organization may be re-elected for the same term, or a new Head of the Organization may be elected from among the members of the Organization. The Head of the Organization may be dismissed from office by the decision of the General Assembly before the end of the term for which he was elected in cases:

  • at his own request based on a written statement submitted to the General Assembly of the Organization;
  • in case of repeated violation of the requirements of the Organization’s Statute;
  • if by his actions he caused material or moral damage to the Organization.

5.7. The Head of the Organization is accountable to the General Assembly and organizes the implementation of decisions adopted by the General Assembly; ensures the preparation of all documents necessary for the organization and conduct of the General Assembly; has the authority to exercise the rights of the Organization and accordingly perform the duties related to the activities and affairs of the Organization, except for cases within the exclusive competence of the General Assembly; acts on behalf of the Organization within the limits established by law and this Statute. The report on the activities of the Head of the Organization is heard by the General Assembly once every three months.

5.8. The Head of the Organization has the right to act on behalf of the Organization without a special power of attorney.

5.9. The following issues are within the competence of the executive body of the Organization:

  • creation of necessary permanent commissions of the Organization in accordance with the relevant areas of activity and approval of their regulations;
  • approval of the Organization’s symbols;
  • approval of annual budgets of the Organization, consideration and approval of reports on their implementation;
  • convening General Assemblies, reporting to them on their activities;
  • admission of new members to the Organization;
  • control over the activities of the Organization;
  • preparation of proposals and materials for consideration at the General Assemblies;
  • ensuring the implementation of decisions of the General Assemblies;
  • development of draft annual budgets, plans of main events, and programs of the Organization;
  • expulsion (termination) of membership in the Organization;
  • resolution of other issues related to the activities of the Organization, not included in the exclusive competence of the General Assembly.

5.10. The Head of the Organization also:

5.10.1. Reports to the members of the Organization on their work at the General Assemblies of the members of the Organization.
5.10.2. Conducts recruitment of staff of the Organization, determines their functional duties.
5.10.3. Represents the interests of the Organization in relations with individuals and legal entities, state authorities and local self-government bodies, in international relations.
5.10.4. Reports at regular and extraordinary General Assemblies to the members of the Organization on the results of the Organization’s activities and the activities of its management bodies.
5.10.5. Signs any documents on behalf of the Organization.
5.10.6. Opens accounts in banking institutions.
5.10.7. Acts without a power of attorney on behalf of the Organization.
5.10.8. Determines the staff schedule of the Organization.
5.10.9. Performs other actions in accordance with this Statute.

5.11. Within their competence, the Head of the Organization issues orders and directives that are binding on all officials of the Organization.

5.12. The labor legislation of Ukraine, social security, pension, and social insurance laws apply to the staff of the Organization.

5.13. The supervisory body of the Organization is the Audit Committee, which, if necessary, may be established by the General Assembly with a membership of 3 (three) persons for a term of 3 (three) years, headed by the Chairperson of the Audit Committee for a term of three years to fulfill the statutory purposes of the Organization.

5.14. The Head of the Organization cannot be a member of the Audit Committee. The Audit Committee monitors compliance with the Organization’s statutes by its members, the financial activities of the Organization, the correctness of accounting, and the targeted use of the Organization’s property and funds.

5.15. Meetings of the Audit Committee are convened by its Chairperson as necessary but at least once a year. The Head of the Organization may participate in meetings of the Audit Committee with advisory voting rights. The Audit Committee has the right to demand from the officials of the Organization and the legal entities (associations, enterprises) created by the Organization to provide materials, documents, explanations necessary for the conduct of the respective inspection.

5.16. The Audit Committee is accountable for its activities to the General Assembly of the Organization. To conduct inspections, the Audit Committee may involve expert and audit organizations.

5.17. The Head of the Organization is obliged to report to the members of the Organization on the performance of his duties and the implementation of the statutory tasks of the Organization at the annual regular General Assemblies.

5.18. The report is prepared by the Head of the Organization, reflecting the following issues:

5.18.1. Analysis of the Organization’s performance, including its separate units, main tasks;
5.18.2. Analysis of the implementation of the Organization’s annual plan, positive and negative phenomena during its implementation;
5.18.3. Number of Organization members, recruitment of new members, and creation of separate units of the Organization;
5.18.4. Financial activities of the Organization, use of funds received by the Organization to fulfill its statutory tasks;
5.18.5. Comparative analysis of the activities and ratings of separate units of the Organization;
5.18.6. Main tasks of the Organization and its separate units for the next year.

5.19. The Head of the Organization must respond in writing or by email within a 30-day period to requests from members of the Organization regarding the activities of the governing bodies and the implementation of statutory tasks.

5.20. The Head of the Organization ensures free access for members of the Organization to information about the activities of the governing bodies of the Organization, including decisions made and the implementation of statutory tasks, on the Organization’s website.
